Euro-Wall Systems, LLC operates https://www.euro-wall.com (the “Site”). This page informs you of our policies regarding the collection, use and disclosure of Personal Information we receive from users of the Site.

1. PARTIES.
This Licensing Agreement (this “Agreement”) is entered into between Euro-Wall Systems, LLC (“Euro-Wall”), and you (“User”), and details the terms of our engagement for utilizing images / photos from Euro-Wall.
2. DEFINITIONS.
“Images” means any photograph or image whether generated digitally, electronically, or by any other means, original digital files, including any prints or any Reproductions thereof which is licensed by Euro-Wall under the terms of this Agreement associated with this Agreement.
3. GRANT OF LICENSES.
Subject to the terms of this Agreement, Euro-Wall grants to Licensee a limited, non-exclusive, non-transferable, non-sublicensable, royalty-free right and license to use the Images for business marketing purposes while the Licensee has an Active License (as described in paragraph 4 below) (the “License”). Euro-Wall maintains full sole copyright ownership and all other intellectual property rights in and to the Images. No ownership or copyright in any Images shall pass to Licensee by the issuance of the License.
4. ACTIVE LICENSE TERM & TERMINATION.
The approved usage granted to Licensee shall remain active as long as agreed user is utilizing the images in a manner that is deemed appropriate by Euro-Wall. The License will terminate automatically without notice from Euro-Wall if the User fails to comply with any provision of this Agreement. Upon termination, Licensee must immediately: (i) stop using the Images, including on all websites, platforms, apps, social media; (ii) destroy, or upon request from Euro-Wall, return the Images to Euro-Wall; and (iii) delete or remove the Images from Licensee’s premises, electronic or physical storage systems. Euro-Wall reserves the right to revoke the License for good cause and elect to replace the Images with alternative Images. Upon notice of revocation of a license for any particular Image, Licensee shall immediately cease using such Images.
5. RESTRICTIONS.
5.1 No Modification. Except for necessary cropping or resizing, Licensee may not alter or edit the Images in any manner whatsoever.
5.2 Access. Licensee may store the Images in a digital library, cloud storage, or similar system, to be viewed by employees, partners, and contractors of Licensee, but under no circumstances may the Images ever be used by any company other than the original company that the User represented in the original download.
5.3 No Sub-Licenses. Licensee may not sublicense, sell, assign, convey or transfer the Images or this Agreement or any of its rights under this Agreement.
5.4 Use. Images shall not be incorporated into a logo, trademark or service mark. Licensee must retain the information invisibly embedded in the electronic file containing the Images, including without limitation, the copyright symbol, the name of Euro-Wall Systems, LLC, the Image’s identification number and any other information. The Images may not be used in a pornographic, defamatory or other illegal manner, whether directly or in context or juxtaposition with other materials or images. Licensee must abide by any restriction on use notified to it by Euro-Wall before or at delivery, whether in the information accompanying the Images or otherwise.
5.5 Accreditation. If the Images are used in an editorial manner, Licensee must include the following credit adjacent to the Images: “Euro-Wall Systems, LLC / www.euro-wall.com”.
6. MISCELLANEOUS.
6.1 Unauthorized Use. Any use of the Images in a manner not expressly authorized by this Agreement or in breach of a term of this Agreement that constitutes copyright infringement, entitles Euro-Wall to exercise all rights and remedies available to it under copyright laws around the world. Licensee shall be responsible for any damages resulting from such copyright infringement, including any claims by a third party.
6.2 Entire Agreement; Waiver; Severability. This Agreement constitutes the entire agreement between the parties pertaining to the subject matter contained in it and supersedes all prior and contemporaneous agreements, representations, and understandings of the parties. No supplement, modification or amendment of this Agreement shall be binding unless executed in writing by all the parties. No waiver of any of the provisions of this Agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver. If any term, provision, covenant or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired or invalidated.
